EasyTech Platform Terms and Conditions (Service Provider)
These Terms and Conditions ("Terms") constitute a legal agreement between the User (as defined below) and M.D EasyTech Ltd. ("the Company", "EasyTech" or "we"), a company registered in Israel, doing business under the name "EasyTech" in connection with the "EasyTech" platform — an online marketplace for students seeking lessons online, and for individual teachers and/or tutors interested in providing such lessons and sessions as independent service providers ("the Platform").
In these Terms — "Student" means students seeking to obtain lessons or sessions online through the Student Interface; "User" or "you" means a user of the Service Provider Interface who visits the Service Provider Interface and/or who acts as an independent contractor and provides lessons through the Platform; "Parent" means the adult, legally competent parent or legal guardian of the Student, where the Student is under the legal age to be bound by this agreement; "Booking" means the booking of a lesson by a Student through the Student Interface with a Service Provider; "Lesson" means the lesson provided online, whether ordered as a standalone lesson or as part of a "Package"; "Online Lesson" means the lesson, session or class provided by the Service Provider via an online video-call service or feature (videoconference) as determined by EasyTech; and "Service Provider" means the individual teacher and/or tutor, acting as an independent contractor, who provides lessons through the Platform and who is subject to the Company’s terms of use.
These Terms set out, among other things, the terms and conditions under which Users may access the Platform through the Service Provider Interface and accept lesson Bookings and/or provide lessons through the Platform to any Student registered with the Platform. Upon creating an account on the Platform, Service Providers are permitted to provide lessons online and to communicate with the Student on the Service Provider Interface.
The Service Provider Interface may be used by any person who satisfies the following conditions: (1) the Service Provider is not under 18 years of age; and (2)(a) holds an appropriate university degree (EasyTech has the right to accept a Service Provider who does not hold a university degree, at its own decision and discretion); or (b) has obtained EasyTech’s written consent. EasyTech has the right — but not the obligation — to request additional documents from the Service Provider beyond those required under these Terms, in order to ensure the Service Provider’s competence.
You must read these Terms carefully before accessing (logging into) the Service Provider Interface, because accessing the Service Provider Interface, creating a Service Provider Account (defined below), and clicking "I Agree" means that you agree to be bound by these Terms. If you do not agree to all of these Terms, or if you are not able to be bound by all of these Terms, for any reason, you must not access or use the Service Provider Interface.
EasyTech has the right to amend these Terms, and amendments to the Terms take effect as soon as notice of them is posted on the Platform and/or Users are notified of such amendments by email (as EasyTech’s platform determines). Your continued use of the Service Provider Interface after receiving such notice constitutes agreement to these amendments. If you do not agree to these amendments, you must immediately stop using the Service Provider Interface.
- The Platform operates as an intermediary service that enables Service Providers to market and provide lessons to Students, and enables Students to book lessons with Service Providers. The Platform operates as a web-based application through EasyTech’s website at https://easytech.college. The Platform consists of an interface for Students, available to them and accessible via the website (the "Student Interface"); and an interface for Service Providers, available for Service Providers’ use and accessible through a separate interface. The Service Provider Interface may also be used via the application available for download on mobile devices running Android and iOS.
- The services and features we provide through the Service Provider Interface differ from those provided to Students.
- To join the Service Provider Interface as a User and be able to use the Platform, the User must create a Service Provider account on the Service Provider Interface (the "Service Provider Account") and provide EasyTech with the documents and information required to prove the Service Provider’s qualifications, including, without limitation, a copy of an ID/driving licence, a CV, and a bachelor’s degree certificate ("the Documents"). EasyTech will review the Documents and decide whether the Service Provider is suitable to provide services through the Platform. EasyTech reserves the right to refuse or accept any person as a User on the Platform, at its sole discretion. After receiving the account details, the User may begin using the Service Provider Interface and providing lessons to Students through the Service Provider Interface.
- The User must keep secure and confidential any password(s) or identifying data we send the User from time to time, and must likewise protect any personal information belonging to the User. The User agrees to provide us with any proof of identity or other proofs we may request at our discretion. When creating the Service Provider Account, you agree to provide accurate, current and complete information during the registration process, and to update that information from time to time so that it remains accurate and complete. You acknowledge and agree that the information you provide during the creation of the Service Provider Account may be used for identification purposes and will therefore be shared with Students in order to enable them to communicate with you and/or book lessons with you. The Service Provider may not authorize any other person or entity to access the Service Provider Account. EasyTech will not be liable for any losses or damages incurred by the User as a result of unauthorized use of the Service Provider Account, and the User must notify EasyTech immediately upon becoming aware of any unauthorized access to their Service Provider Account.
- When using the Service Provider Interface, you will be able to link your Service Provider Account with your social media accounts held with third-party service providers (such as Facebook, Google, etc.) (each referred to as a "Third-Party Account") by entering the Third-Party Account login information through the Service Provider Interface. This information is used for registration and identity-verification purposes. You represent that you have the right to disclose your Third-Party Account login information, without violating any of the terms governing your use of the Third-Party Accounts used, and without exposing the Company to any restrictions imposed by the Third-Party Account service provider. You may unlink the Service Provider Interface from your Third-Party Account by contacting us by email at the email address set out in Section 39 below, or through your Service Provider Account settings (if available).
- The Service Provider Interface displays a list of the lessons booked by Students through the Student Interface, and also includes the ability to modify and update the types and prices of lessons offered by the Service Provider. The User may access the Service Provider Interface on the Platform at any time and accept any lesson Booking from any Student at their own discretion. When the User accepts a Booking, this constitutes a contract between the User and the Student, and EasyTech is not a party to that contract. You will then have the opportunity to communicate with the Student through the Service Provider Interface to prepare for the lesson you have accepted. If you do not approve a lesson booked by a Student, that lesson is not deemed "booked".
- If the Service Provider accepts a lesson Booking and a lesson time is scheduled with the Student, the Service Provider must be present at the scheduled lesson time through the Platform. The Service Provider must also be available to receive calls at the number they entered in the Service Provider Account as the lesson time approaches. If the Service Provider wishes to cancel the lesson, they must notify the Student through the Service Provider Interface at least 24 hours before the scheduled lesson time; otherwise, they will be obligated to deliver the lesson as scheduled or to pay the full cost of the lesson to EasyTech. For clarity: if the Student cancels the lesson in accordance with the specified conditions (at least 24 hours before the lesson time), the amount paid will be refunded to the Student in full and no fee will be deducted from the Service Provider’s account. If the Service Provider fails to attend the lesson without prior cancellation in accordance with the specified conditions, the full cost of the lesson will be deducted from the Service Provider’s account and transferred to the Student. EasyTech has the right, at its sole discretion, to restrict the Service Provider Account if the Service Provider fails to attend two lessons within a 12 calendar-month period.
- The User must set the cost of the lessons/Packages they offer through the Platform, so that Students are able to make a Booking and the Service Provider can provide the lesson, provided that the cost is set in advance (or changed later) with EasyTech’s written consent ("the Lesson/Package Cost").
- All payments relating to the services provided through the EasyTech platform by Students to Service Providers, including payment of the commission owed to EasyTech, are made through a third-party collection company selected by EasyTech ("the Collection Company"). The Service Provider undertakes to review the Collection Company’s terms of use, to ensure their agreement to and full understanding of them, and to carry out all procedures required to ensure that funds are transferred to them lawfully.
- After the lesson ends, the Student pays the cost of the lesson or Package directly through the system, using the electronic payment methods available on the Platform, which are processed through the Collection Company. After the Collection Company receives the amount paid by the Student, the Company automatically deducts 20% of the total cost of the lesson or Package as commission for EasyTech, plus value-added tax (if applicable). The remaining amount is transferred to the bank account designated for the Service Provider that was previously registered with the Collection Company.
- The Service Provider is provided with a monthly financial report including details of payments collected and commissions deducted, through the Service Provider Interface.
- EasyTech bears no responsibility for any dispute or problem that may arise between the Student or the Service Provider and the Collection Company in relation to the completion of payment, any delay in payment, or any claim for additional fees. EasyTech is considered only a technical intermediary in the payment process.
- You agree, under these Terms, to the following: (a) each User is entitled to access only one Service Provider Account, and you are not permitted to create multiple accounts; (b) you must accept any Student’s Booking by clicking "Accept Booking", after which the Booking is deemed an unconditional and irrevocable agreement to make the lesson available to the Student; (c) you are responsible for verifying the Bookings you have accepted or are about to accept, and you must read their description and determine their suitability to your qualifications; (d) we cannot guarantee, and make no promises of, achieving any particular results from booking lessons, from the lessons themselves, or from using the Platform; (e) EasyTech is not responsible for the content of the lessons and/or the materials used by Service Providers at any stage; (f) you agree not to use the Service Provider Interface for any purpose not falling within the application’s specified purposes; (g) for as long as you hold a Service Provider Account and for 24 months thereafter, you are not permitted to contract directly with any Student registered on the Platform without our prior written consent.
- You represent and warrant to EasyTech that: (a) you are not under 18 years of age and possess the academic qualifications and experience necessary to provide lessons through the Platform, and that you have submitted all the required documents proving this; (b) you have full legal freedom and capacity enabling you to use the Service Provider Interface and provide lessons in accordance with these Terms.
- In addition to the above: a) The Service Provider undertakes to devote all their effort, knowledge and skill to providing services to Students, and to act with a high level of professionalism in accordance with the law, EasyTech’s requirements, and Students’ needs. b) The Service Provider must act honestly and in good faith, and avoid any act or omission that may harm Students and/or their rights and/or EasyTech’s reputation. c) The Service Provider undertakes to perform all services that are the subject of these Terms personally. d) There is no legal and/or contractual obstacle preventing the Service Provider from being bound by these Terms. e) The Service Provider may not bind or make commitments in EasyTech’s name towards any third party, unless they have obtained EasyTech’s specific prior written consent. f) The Service Provider bears full responsibility for ensuring all insurance required by law. g) The Service Provider acknowledges and undertakes that all taxes and/or other mandatory payments, including income tax, will be settled and paid by them and at their own expense.
- EasyTech shall not be liable in any way for any communication and/or interaction between the Service Provider and the Student, whether conducted through the Service Provider Interface, the Platform, or any other means of communication, including face-to-face communication, whether before, after, or during the lesson.
- Under this clause, EasyTech grants you a non-exclusive, limited, non-sublicensable, revocable and non-transferable license to: (a) access and use the Service Provider Interface solely for the purpose of providing lessons from time to time and communicating with Students; and (b) access and use, for the purpose of providing lessons, any content or information made available to the User on the Service Provider Interface.
- You acknowledge that the Platform, in addition to the products and services provided by EasyTech, including all features, functionality, and all content available on the Platform (excluding content uploaded by Service Providers) and all related rights, is and shall remain the exclusive property of EasyTech or of any entity that has granted EasyTech a licence. You also agree that you will not reverse-engineer or attempt to discover any source code or underlying algorithms used to operate the Platform, and that you will not allow others to use the Service Provider Interface using your account.
- You acknowledge that any links to third-party websites found on the Service Provider Interface may direct you to third-party websites unaffiliated with, and not controlled by, EasyTech. EasyTech is not responsible for examining or evaluating such content or its accuracy.
- The User agrees and acknowledges that EasyTech may place promotional advertisements on the Service Provider Interface. EasyTech shall not be considered responsible for any errors, omissions, or inaccuracies in the promotional material of such advertisements.
- Students may add reviews or ratings for Service Providers ("Reviews"). EasyTech does not endorse these Reviews, and we bear no responsibility for them. Without derogating from the foregoing, EasyTech has the right to suspend your Service Provider Account in the event of repeated negative Reviews concerning you.
- EasyTech has the right, at its sole discretion, to suspend your Service Provider Account or restrict your use of the Platform and/or the provision of lessons (a) if it receives a complaint against you from a Student regarding your misconduct; (b) if the information you provided during the registration process is found to be incomplete or inaccurate; (c) if we consider that your actions may expose EasyTech to legal liability; or (d) if you fail to comply with these Terms.
- EasyTech has the right to terminate your subscription to the Platform under these Terms at any time with immediate effect, by giving two (2) days’ prior notice. You may request the suspension or termination of your Service Provider Account at any time. Without derogating from the foregoing, these Terms terminate without any further action by EasyTech if you have not provided any lessons during any period of twelve consecutive months.
- EasyTech has the right, at any time, to terminate and/or discontinue the operation of the Service Provider Interface and/or the entire Platform and to cease its operations (whether temporarily or permanently), without any liability towards Users.
- Upon termination of these Terms for any reason, all provisions of these Terms which by their nature are intended to survive termination shall be deemed to survive such termination.
- Service Providers and Students alone bear responsibility for any and all interactions, conversations, and any form of communication and conduct between Students and Service Providers. EasyTech cannot provide any warranties regarding a Student’s identity or conduct. EasyTech disclaims liability in this regard to the fullest extent permitted by law.
- EasyTech bears no responsibility for evaluating or verifying the accuracy, suitability, or reliability of any information included in Students’ profiles on the Platform. For the avoidance of doubt, we are not responsible for the conduct of any Student.
- If you have any complaint regarding a Booking and/or lessons, you must notify EasyTech immediately through the Service Provider Interface or by sending it to the email address set out in the final paragraph of these Terms.
- The Company provides the lessons and any materials and features available on or through the Platform "as is", without any warranties of any kind. EasyTech makes no representations, warranties, or assurances regarding reliability, timeliness, quality, suitability, availability, accuracy, or completeness of the Platform.
- The User has no authority to bind EasyTech or to make commitments on EasyTech’s behalf without EasyTech’s prior written consent.
- In the event of any dispute or disagreement with a Student, relating to the Platform and/or lessons and/or for any other reason, you agree, under these Terms, to permanently release and discharge EasyTech, and to release its directors, officers, shareholders, employees, and agents, from any and all rights, allegations, or claims.
- In no event shall our liability to you for any action or claim relating to the Platform exceed the total amount of EasyTech’s share of the cost of the lessons you have provided through the Service Provider Interface during the six (6) months preceding the determination of such liability.
- By accessing the Service Provider Interface, you agree that you will defend and indemnify EasyTech for any damages, and release EasyTech, its parent company, affiliates, directors, officers, shareholders, employees, and agents from any claims, costs, damages, losses, or legal liability arising from your breach of any provision of these Terms.
- These Terms and all rights of Users set out under them are personal to the User and dedicated to them, and accordingly, the User may not transfer any of their rights and/or obligations under these Terms to any third party without EasyTech’s prior written consent. EasyTech has the right to transfer its rights and/or obligations to any of its affiliates, its parent company, or sister companies, or to any third party, at any time.
- The Service Provider acts under the provisions of these Terms as an independent contractor, and not as an agent and/or partner and/or representative and/or employee of EasyTech. The relationship between the Service Provider and EasyTech under this agreement may not be construed as creating an employment relationship, a partnership, an agency, or a joint venture, and the Service Provider hereby waives any claim that an employment relationship has been or will be created as a result of this agreement.
- The Service Provider is responsible for all tax payments owed by them as an independent contractor arising from the provision of services and/or receipt of payment under these Terms. Without derogating from the above, the Service Provider acknowledges that, throughout the period of their affiliation with the Platform, they will settle all payments and fees owed to any governmental body arising from their status as an independent contractor (including life insurance, health insurance, disability insurance, and pension contributions).
- The Service Provider undertakes to indemnify EasyTech, immediately upon its first demand, for any amount and/or expenses EasyTech may incur in relation to any claim and/or ruling under which the Service Provider is deemed to be an employee of EasyTech, including any amount EasyTech may be required to pay to the Service Provider and/or any of their representatives and/or a third party, legal expenses, damages, etc., arising from the Service Provider’s breach of the provisions of Clauses 35 and 36.
- EasyTech may, from time to time, modify the services/features it provides through the Student Interface and/or the Service Provider Interface and/or the application, and/or add services/features, and/or offer new or temporary services (with or without notice). EasyTech reserves the right to restrict any service provided through the platforms and to make it available only to certain Users who have subscribed to particular features on the Platform.
- These Terms and the Privacy Policy constitute the entire agreement between the User and EasyTech regarding the matters referred to herein. These Terms are governed by the laws of the State of Israel, regardless of conflict-of-law principles. Any dispute arising under or in connection with these Terms shall be resolved in the competent court in the city of Haifa, and each party hereby irrevocably submits to the jurisdiction of that court.

By agreeing to these Terms, you acknowledge that you have read these Terms carefully, that you have understood their provisions, and that you agree to be bound by all the provisions contained herein. You further acknowledge that you agree to these Terms voluntarily and of your own free will.
