EasyTech Platform Terms and Conditions (Students)

These Terms and Conditions ("Terms") constitute a legal agreement between the User (as defined below) and M.D EasyTech Ltd. ("the Company", "EasyTech" or "we"), a company registered in Israel, doing business under the name "EasyTech" in connection with the "EasyTech" platform — an online marketplace for students seeking private lessons and sessions at home and/or online, and for individual teachers and/or tutors who provide such lessons and sessions as independent service providers ("the Platform").

In these Terms — "Student" means students seeking to obtain lessons or sessions online through the Student Interface; "User" or "you" means a user of the Student Interface who visits the Student Interface and/or books a lesson, whether a parent or a student; "Parent" means the adult, legally competent parent or legal guardian of the Student, where the Student is under the legal age to be bound by this agreement; "Booking" means the booking of a lesson by a User through the Student Interface with a Service Provider; "Lesson" means the lesson provided online, whether ordered as a standalone lesson or as part of a "Package"; "Online Lesson" means the lesson, session or class provided by the Service Provider via an online video-call service or feature (videoconference) as determined by EasyTech; and "Service Provider" means the individual teacher and/or tutor, acting as an independent contractor, who provides lessons through the Platform and who is subject to the Company’s terms of use.

These Terms set out, among other things, the terms and conditions under which Users may access the Platform through the Student Interface and book a lesson with a Service Provider. Upon creating an account on the Platform, the Student is permitted to choose lessons and to communicate with Service Providers on the Student Interface. Service Providers may provide lessons as Online Lessons.

The Student Interface may be used by: (1) a Student under 18 years of age who has obtained the express consent of a parent or legal guardian to use the Student Interface for the purpose of booking lessons; (2) a Student over 18 years of age, who may be a university student, using the Student Interface for the purpose of booking lessons without the need for parental or legal-guardian consent; or (3) a Parent. EasyTech has the right — but not the obligation — to require the Student to provide EasyTech with written proof of parental consent to their use of the Student Interface.

You must read these Terms carefully before accessing (logging into) the Student Interface and/or booking lessons, because accessing the Student Interface, creating a Student Account (defined below), and clicking "I Agree" means that you agree to be bound by these Terms. If you do not agree to (or are not able to be bound by) all of these Terms for any reason, you must not access or use the Student Interface and/or book lessons through the Platform.

EasyTech has the right to amend these Terms, and updates to the Terms take effect as soon as notice of them is posted on the Platform and/or Users are notified of such changes by email (as EasyTech’s platform determines). Your continued use of the Student Interface after receiving such notice constitutes agreement to these updates. If you do not agree to these updates, you must immediately stop using the Student Interface and refrain from booking any lessons.

  1. The Platform operates as an intermediary service that enables Service Providers to market and provide lessons to Students, and enables Students to book lessons with Service Providers. The Platform operates as a web-based application through EasyTech’s website at https://easytech.college/. The Platform consists of an interface for Students, available to them and accessible via the website (the "Student Interface"); and an interface for Service Providers, available for Service Providers’ use and accessible through a separate interface. The Student Interface may also be used via the application available for download on mobile devices running Android and iOS.
  2. The services and features we provide through the Student Interface differ from those provided to Service Providers. EasyTech does not employ or engage any Service Providers, and accordingly Service Providers are not employees or agents of EasyTech, but rather independent contractors operating separately from EasyTech.
  3. To join the Student Interface as a User and be able to book a lesson through the Platform, the User must create a Student account on the Student Interface (the "Student Account"), after which EasyTech will send the account details to the Student. EasyTech reserves the right to refuse to accept any person as a User on the Platform, at its sole discretion. After receiving the account details, the User may begin using the Student Interface and booking lessons with Service Providers through the Student Interface.
  4. The User must keep secure and confidential any password(s) or identifying data we send the User from time to time, and must likewise protect any personal information belonging to the User. The User agrees to provide us with any proof of identity we may request at our discretion. When creating the Student Account, you agree to provide accurate, current and complete information during the registration process, and to update that information from time to time so that it remains accurate and complete. You acknowledge and agree that the information you provide during the creation of the Student Account may be used for identification purposes and will therefore be shared with Service Providers in order to enable them to communicate with you and/or provide lessons to you. The Student Account is to be used by the Parent or the Student, and neither the Parent nor the Student may authorize any other person or entity to access the Student Account. EasyTech will not be liable for any losses or damages incurred by the User as a result of unauthorized use of the Student Account, and the User must notify EasyTech immediately upon becoming aware of any unauthorized access to their Student Account.
  5. When using the Student Interface, you will be able to link your Student Account with your social media accounts held with third-party service providers (such as Facebook, Google, etc.) (each referred to as a "Third-Party Account") by entering the Third-Party Account login information through the Student Interface. This information is used for registration and identity-verification purposes.
  6. The Student Interface presents a listing of the profiles of a number of Service Providers, including a description of the lessons they offer, which any User may book. When a User makes a Booking, the Platform automatically sends a "Booking Notice" to the relevant Service Provider. A Service Provider’s acceptance of your Booking constitutes a contract between the User and that Service Provider, and EasyTech is not a party to that contract.
  7. Any Student may submit Bookings through the Student Interface by selecting a lesson from any of the Service Providers listed on the Student Interface. Once a Booking has been submitted, Students may not withdraw or cancel that Booking except in accordance with Clause 8 below.
  8. Once the Service Provider accepts the lesson and the lesson time is scheduled, the Student must be present at the scheduled lesson time through the Platform. If you wish to cancel the lesson, you must notify the Service Provider through the Student Interface at least 24 hours before the scheduled lesson time; otherwise, you will be liable to pay the full cost of the lesson with no refund of the lesson cost. If you fail to connect via videoconference to join the Online Lesson within 15 minutes of the scheduled lesson time, the lesson will be deemed cancelled by you and you will pay the full cost of the lesson.
  9. For a Student to submit a Booking and for the Service Provider to provide the lesson, the User must pay the cost of the product they are purchasing upon completing that Booking, whether that is a "standalone" lesson or a lesson "Package". Failure to pay the cost of the lesson as set out above constitutes a material breach of these Terms.
  10. The User acknowledges and agrees that the cost of a lesson and the cost of a Package may vary from one Service Provider to another and/or from one lesson to another, and that such cost is determined based on several factors such as experience, subject matter, distance, and so forth.
  11. Immediately upon approval of the Booking, and after the User has paid the cost of the lesson or the cost of the Package (as applicable), EasyTech will issue an invoice for the cost of the lesson (on behalf of the Service Provider) or for the cost of the Package.
  12. You agree, under these Terms, to the following: (a) each User is entitled to access only one Student Account; (b) you must make the Booking with the desired Service Provider through the Student Interface; (c) you are responsible for verifying the lessons you book; (d) we cannot guarantee that any particular results will be achieved from booking lessons; (e) EasyTech is not responsible for the content of the lessons and/or the materials used by Service Providers; (f) you agree not to use the Student Interface for any commercial purpose; (g) for as long as you hold a Student Account and for 24 months thereafter, you are not permitted to contract directly with any Service Provider introduced to you on the Platform without our prior written consent.
  13. You represent and warrant to EasyTech that: (a) you are a Parent, or a Student over 18 years of age, or a Student under 18 years of age who has obtained the prior express consent of a parent; and (b) you have the legal capacity that enables you to use the EasyTech application and make Bookings in accordance with these Terms.
  14. EasyTech shall not be liable in any way for any communication and/or interaction with a Service Provider, whether conducted through the Student Interface, the Platform, or any other means of communication, including face-to-face communication, whether before, after, or during the lesson.
  15. Under this clause, EasyTech grants you a non-exclusive, limited, non-sublicensable, revocable and non-transferable license to access and use the Student Interface solely for the purpose of making Bookings and paying the cost of the lesson.
  16. You acknowledge that the Platform, in addition to the products and services provided by EasyTech, including all features, functionality, all content available on the Platform, and all related rights, is and shall remain the exclusive property of EasyTech or of any of EasyTech’s licensors.
  17. You acknowledge that any links to third-party websites found on the Student Interface may direct you to third-party websites unaffiliated with, and not controlled by, EasyTech. EasyTech is not responsible for examining or evaluating such content or its accuracy.
  18. The User agrees and acknowledges that EasyTech will place certain advertisements on the Student Interface. EasyTech shall not be responsible for any errors, omissions, or inaccuracies in the promotional material of such advertisements.
  19. Users may leave reviews or ratings for Service Providers ("Reviews"). Your Reviews must not contain offensive, racist, discriminatory, or hate-inciting language. EasyTech has the right, at its sole discretion, to approve, reject, or remove any Reviews.
  20. EasyTech has the right, at its sole discretion, to suspend your Student Account or restrict your use of the Platform and/or the making of Bookings in cases of misconduct, the provision of incorrect information, or breach of these Terms.
  21. We have the right to terminate your subscription to the Platform under these Terms at any time with immediate effect, at our sole discretion, by giving two (2) days’ prior notice. You may request the suspension or termination of your Student Account at any time.
  22. EasyTech has the right, at any time, to terminate and/or discontinue the Student Interface and/or all services available on the Platform and to cease its operations, without any liability towards Users.
  23. Upon termination of these Terms for any reason, all provisions of these Terms which by their nature are intended to survive termination shall be deemed to survive such termination.
  24. EasyTech does not endorse Service Providers, and does not control them and/or their services and/or the content used by them. Service Providers and Students alone bear responsibility for any and all interactions, conversations, and any form of communication and conduct between Students and Service Providers.
  25. EasyTech bears no responsibility for evaluating or verifying the accuracy, suitability, or reliability of any information included in the profiles of Service Providers on the Platform.
  26. If you have any complaint regarding a Booking and/or lessons and/or a Service Provider, you must notify EasyTech immediately through the Student Interface or by sending it to the email address set out in the final paragraph of these Terms.
  27. The Company provides the lessons and any materials and features available on or through the Platform "as is", without any warranties of any kind. EasyTech makes no representations or warranties regarding the reliability, quality, suitability, availability, accuracy, or completeness of the Platform.
  28. Your use of the Student Interface is at your own risk and discretion. Students acknowledge that EasyTech does not provide educational services and/or lessons and operates only as an intermediary. Service Providers, and not EasyTech, are responsible for preparing and delivering the lessons at the scheduled times.
  29. The User has no authority to bind EasyTech or to make commitments on EasyTech’s behalf without EasyTech’s prior written consent.
  30. In the event of any dispute or disagreement with a Service Provider, you agree, under these Terms, to permanently release and discharge EasyTech, and to release its directors, officers, shareholders, employees, and agents, from any and all rights, allegations, or claims.
  31. In no event shall our liability to you for any action or claim relating to the Platform exceed the total amount of fees you have paid us for lessons you booked during the six (6) months preceding the determination of such liability.
  32. By entering into these Terms, you agree that you will defend and indemnify EasyTech for any damages, and release EasyTech, its parent company, affiliates, directors, officers, shareholders, employees, and agents from any claims, costs, damages, or losses arising from your breach of any provision of these Terms.
  33. These Terms and all rights of Users set out under them are personal to the User and dedicated to them, and accordingly, the User may not assign these Terms and/or any of their rights and/or obligations to any third party without EasyTech’s prior written consent.
  34. EasyTech may, from time to time, modify the services/features it provides through the Student Interface and/or the application, and/or add services/features, and/or offer new or temporary services (with or without notice).
  35. These Terms and the Privacy Policy constitute the entire agreement between the User and EasyTech. These Terms are governed by the laws of the State of Israel, regardless of conflict-of-law principles. Any dispute arising under or in connection with these Terms shall be resolved in the competent court in the city of Haifa.

By agreeing to these Terms, you acknowledge that you have read these Terms carefully, that you have understood their provisions, and that you agree to be bound by all the provisions contained herein. You further acknowledge that you agree to these Terms voluntarily and of your own free will.
